Terms of Service for Planet Sustech Website & Karbon Platform

1. Definitions

For the purposes of these Terms of Service:

• “Planet Sustech,” “we,” “us,” or “our” refers to PLANET SUSTECH PRIVATE LIMITED, a company registered under the laws of India.
• “Karbon Platform,” “Platform,” or “Services” refers to our B2B Environmental, Social, and Governance (ESG) management platform accessible at https://dev.planetsustech.com and related services.
• “Client” or “Customer” refers to the organization or entity that has entered into a services agreement with Planet Sustech.
• “User” or “you” refers to individuals authorized by a Client to access and use the Karbon Platform.

2. Acceptance of Terms of Service

By accessing and using the Karbon Platform, you are agreeing to comply with and be bound by these Terms of Service and our Privacy Policy, on behalf of yourself and your organization. These Terms constitute a binding legal agreement between you (and your organization) and PLANET SUSTECH PRIVATE LIMITED.

If you do not agree to these Terms, you must immediately cease using the Platform and notify your organization’s administrator.

3. Account Access and Security

3.1 Account Creation: User accounts on the Karbon Platform are created exclusively by authorized Client administrators. Planet Sustech does not accept direct public registration. Access credentials are provided to Users through their organization.

3.2 Account Information: You agree to provide accurate, current, and complete information during the account setup process and to update such information to keep it accurate, current, and complete.

3.3 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify your organization’s administrator and Planet Sustech of any unauthorized use of your account.

3.4 Account Termination: Your organization’s administrator retains the right to suspend or terminate your access to the Platform at any time. Planet Sustech may also suspend or terminate accounts that violate these Terms or engage in unauthorized activities.

4. Acceptable Use of the Platform

You agree to use the Karbon Platform in accordance with all applicable local, state, national, and international laws and regulations. You specifically agree NOT to:

• Use the Platform for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any portion of the Platform or related systems
• Interfere with or disrupt the Platform or servers or networks connected to the Platform
• Transmit any viruses, malware, or other malicious code
• Collect or harvest any personally identifiable information from the Platform without authorization
• Use automated means to access the Platform without express written permission
• Reverse engineer, decompile, or disassemble any portion of the Platform

Unauthorized use of the Karbon Platform is expressly prohibited and may result in immediate termination of access and legal action.

5. Intellectual Property Rights

5.1 Ownership: The Karbon Platform, including all software, content, features, and functionality, is owned by Planet Sustech and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 License: Subject to your compliance with these Terms, Planet Sustech grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your organization’s internal business purposes.

5.3 Client Data:Your organization retains all rights to data and content uploaded to the Platform (“Client Data”). By using the Platform, your organization grants Planet Sustech a limited license to process Client Data solely to provide the Services.

6. Modifications to Terms of Service

Planet Sustech reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms at any time. It is your responsibility to review these Terms periodically for changes.

7. Service Availability and Modifications

7.1 Availability: While we strive to provide continuous access to the Platform, we do not guarantee uninterrupted availability. The Platform may be unavailable during scheduled maintenance, upgrades, or due to circumstances beyond our control.

7.2 Modifications: Planet Sustech reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We will make reasonable efforts to notify Clients of significant changes.

8. Limitation of Liability

PLANET SUSTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES (WHETHER INCURRED DIRECTLY OR INDIRECTLY), OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• (a) Your access to, use of, or inability to access or use the Platform;
• (b) Any unauthorized access, use, or alteration of your transmissions or content;

9. Warranty Disclaimer

THE KARBON PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PLANET SUSTECH DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Refund Policy

• 10.1 Non-Refundable Services: All purchases of our SaaS services are final and non-refundable due to the digital nature of these services and the immediate access provided upon purchase.
• 10.2 Trial Period: We encourage prospective Clients to utilize any available trial period or demonstration to assess the Platform before entering into a services agreement.
• 10.3 Subscription Cancellations: Your organization may cancel its subscription at any time in accordance with the terms of your services agreement, but no refunds will be issued for the current billing period. Access to the Platform will continue until the end of the current billing cycle.
• 10.4 Exceptional Circumstances: In rare cases of Platform malfunction or billing errors, Planet Sustech may, at its sole discretion, issue a refund or credit.
• 10.5 Support: For assistance or to report issues regarding billing or Platform functionality, please contact our customer support team.
• 10.6 Policy Changes: Planet Sustech reserves the right to modify this refund policy at any time, with changes effective upon posting on our website or notification to Clients.

11. Termination

11.1 Termination by Client: Your organization may terminate its services agreement and cease using the Platform in accordance with the terms of your contract with Planet Sustech.

11.2 Termination by Planet Sustech: Planet Sustech may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, non-payment, or violation of applicable laws.

11.3 Effect of Termination: Upon termination, your right to access and use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Planet Sustech’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision
